Introduction

Welcome to ISOVEND. These Terms and Conditions (“Terms”) govern the use of ISOVEND’s vending services, equipment, website, and any related products provided by ISOVEND (“Company,” “we,” “our,” or “us”). By engaging in ISOVEND’s services, you (“Client,” “Location,” or “Customer”) agree to these Terms in full.

ISOVEND is an owner-operated vending service based in New Jersey, delivering vending machines, stocking services, and product selections to commercial, industrial, and event-based locations.

ISOVEND provides the following services:

• Delivery and installation of vending machines
• Stocking and restocking of snacks and beverages
• Ongoing equipment maintenance
• Product curation (including healthy, gluten-free, high-protein, and multicultural snacks)
• Customer support and machine monitoring
• Optional custom placement solutions for businesses and events

ISOVEND reserves the right to modify service offerings at any time.

Service availability is limited to approved locations within New Jersey and surrounding regions.

ISOVEND reserves the right to accept or decline service requests at its sole discretion, including but not limited to:

• Location accessibility
• Placement viability
• Safety concerns
• Revenue potential
• Equipment limitations

All vending machines, equipment, and hardware remain the property of ISOVEND at all times unless otherwise stated in a written purchase agreement.

Clients agree to:

• Provide a safe, accessible location for installation
• Supply adequate electrical outlets meeting standard requirements
• Notify ISOVEND of any damages, issues, or malfunctions
• Not modify, move, tamper with, or repair equipment without written consent

Any damage caused by the client, their staff, or patrons may result in financial liability.

ISOVEND curates a variety of snacks and beverages tailored to the location and its audience. Offerings may include:

• Classic snack favorites
• Healthy options
• High-protein selections
• Gluten-free products
• Sugar-free beverages
• Multicultural snacks
• Seasonal or specialty items

Availability may vary based on supplier stock, pricing, and demand.

Pricing for products sold through ISOVEND machines is set by the Company.

The following may apply depending on the agreement:

• Revenue-share model
• Commission payouts
• Flat placement fees
• Hybrid arrangements

Unless stated otherwise in writing, all commissions are calculated based on gross sales before taxes and processed quarterly or monthly as specified.

ISOVEND reserves the right to adjust product prices in response to market conditions, inflation, shortages, or supplier changes.

ISOVEND will provide an estimated installation timeframe based on machine availability and location readiness. Estimated timelines are not binding and may shift due to:

• Supply chain delays
• Delivery restrictions
• Location preparation
• Weather or transportation issues

Clients will be notified of any significant changes.

ISOVEND is responsible for all machine maintenance, repairs, and restocking unless damage is caused by negligence or misuse from the client or patrons.

Service calls are typically resolved within a reasonable timeframe. Emergencies will be prioritized.

Client agrees to notify ISOVEND promptly regarding:

• Malfunctions
• Empty machines
• Payment errors
• Suspicious behavior or vandalism

ISOVEND carries general liability coverage as required under New Jersey law.

ISOVEND is not responsible for:

• Power outages
• Loss of inventory due to temperature/utility failures at the client’s location
• Vandalism, theft, or external damage
• Revenue loss due to acts of God, natural disasters, or circumstances outside our control

Client agrees to indemnify and hold ISOVEND harmless from claims arising from misuse, relocation, or unauthorized modification of equipment.

Either party may terminate the service agreement with written notice of 30 days unless a separate contract specifies otherwise.

ISOVEND may terminate service immediately if:

• The location becomes unsafe
• Machines are repeatedly damaged
• Payments or commissions are unpaid
• The client breaches these Terms

Upon termination, ISOVEND will remove all equipment within a reasonable timeframe.

ISOVEND may collect limited information such as:

• Contact details
• Service location information
• Machine performance metrics
• Customer inquiries

Data is used solely for operational purposes and is protected under New Jersey privacy regulations. ISOVEND does not sell personal information.

By using the ISOVEND website, you agree not to:

• Copy or distribute content without permission
• Attempt to access or alter backend systems
• Misuse contact forms or submission channels

The website is provided “as is,” without warranties of uptime or error-free performance.

These Terms are governed by the laws of the State of New Jersey.

Any disputes shall be resolved through binding arbitration or small claims court within New Jersey jurisdiction.

ISOVEND reserves the right to update or modify these Terms at any time. Updated versions will be posted publicly and apply immediately.

By using ISOVEND’s services, equipment, or website, the client acknowledges they have read, understood, and agreed to these Terms and Conditions.
